TFG reserves the right to suspend or terminate access to this website and any associated platforms, with or without notice, for any violation of these restrictions or any conduct that TFG determines, in its sole discretion, to be harmful, unlawful, or contrary to the spirit of these terms.

  • Platform software: The AUSPOS, HOSPOS, and MEDIPOS platforms — including all source code, object code, algorithms, database schemas, APIs, and underlying architecture
  • Trade marks: The names “Tech Force Global”, “AUSPOS”, “HOSPOS”, “MEDIPOS”, and associated logos and brand elements (whether registered or unregistered)
  • Website content: All text, graphics, user interfaces, visual design, layout, photography, and multimedia content on this website
  • Documentation: Implementation guides, training materials, help articles, specification documents, and all associated technical content produced by TFG
  • Proprietary methodologies: TFG’s implementation frameworks, business discovery processes, integration patterns, and consulting methodologies
Licence to You

TFG grants you a limited, non-exclusive, non-transferable, revocable licence to access and use this website for its intended purpose. This licence does not include the right to sublicence, sell, resell, modify, copy, distribute, transmit, display, perform, reproduce, publish, or create derivative works from any Content on this website.

Client Data Ownership

Where you provide data to TFG through our platforms or services (“Client Data”), you retain full ownership of that Client Data. TFG holds a limited licence to process and store Client Data solely for the purpose of delivering the contracted services. TFG will not use, reproduce, or disclose Client Data for any purpose other than service delivery without your explicit written consent. Upon termination of services, Client Data will be returned or securely destroyed in accordance with the applicable service agreement.

Third-Party Content

Where this website incorporates third-party content, trade marks, or open-source software, such content remains the property of its respective owner. TFG acknowledges all applicable third-party rights. Use of third-party logos or names does not imply endorsement of TFG by those third parties.

Australian Consumer Law ProtectionsNothing in these Terms of Use limits, excludes, or modifies any rights or remedies you may have under the Australian Consumer Law (ACL) that cannot lawfully be excluded. This includes statutory guarantees as to acceptable quality, fitness for purpose, and the guarantee that services will be provided with due care and skill. Where the ACL applies, TFG’s liability is limited to re-supplying the services or paying the cost of re-supply.

Platform Software, Vendors & TFG’s Role as Facilitator

Tech Force Global develops, owns, and operates three distinct enterprise software platforms. Each platform is designed for specific industries and use cases. TFG acts as the developer, licensor, and primary service delivery partner for each platform — deploying, configuring, and supporting them within client environments.

AUSPOS
AUSPOS Platform
Enterprise retail POS, B2B & B2C order management, and inventory management platform for wholesale, retail, and distribution operations across Australia and internationally.
HOSPOS
HOSPOS Platform
NDIS compliance and care management software for disability service providers, home care operators, and HCP program administrators operating within Australian regulatory frameworks.
MEDIPOS
MEDIPOS Platform
Healthcare procurement, medical supply ordering, and drug schedule compliance platform for hospitals, clinics, medical distributors, and health-related retail businesses.
TFG as Facilitator — Scope and Limits of Responsibility

TFG operates as the developer, licensor, implementation partner, and ongoing support provider for AUSPOS, HOSPOS, and MEDIPOS. In this capacity, TFG’s role is to:

  • Configure and deploy platforms within client environments according to agreed specifications
  • Integrate platforms with third-party systems (accounting software, eCommerce platforms, payment gateways, NDIS portals, government APIs) where contracted
  • Provide implementation support, user training, and ongoing technical helpdesk services
  • Maintain platform availability, security, and updates in accordance with service agreement terms
Third-Party Integrations & External Systems

TFG’s platforms may integrate with, or connect to, third-party software vendors and external systems including — but not limited to — accounting platforms (Xero, MYOB, QuickBooks), payment processors, eCommerce frameworks, NDIS-registered portals, government APIs, logistics providers, and cloud infrastructure services.

Third-Party ResponsibilityTFG is not responsible for the performance, availability, data practices, terms, pricing, or regulatory compliance of any third-party software vendor or external system with which our platforms integrate. Each third-party system operates under its own terms and conditions, privacy policy, and service level commitments. Clients are responsible for reviewing and accepting the terms of any third-party services they choose to connect with TFG platforms.
Regulatory Compliance — Client Responsibility

While TFG designs its platforms to assist clients in meeting regulatory requirements — including NDIS Practice Standards, TGA and drug schedule compliance, and applicable Australian Standards — ultimate regulatory compliance is the responsibility of the client organisation. TFG provides tools, workflows, and documentation to support compliance; however, TFG does not provide legal, regulatory, or professional compliance advice, and nothing on this website or within our platforms constitutes such advice.

Data Protection & Privacy

TFG is committed to handling personal information in accordance with the Australian Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs). Your use of this website and our platforms is also governed by our Privacy Policy, which is incorporated into these Terms of Use by reference.

TFG collects only the personal information reasonably necessary for the delivery of its services. We do not collect information beyond what is required for a stated, legitimate purpose.

TFG does not sell, rent, or trade personal information or client data to any third party for commercial purposes. We do not permit advertisers or data brokers to access information held by TFG.

Notifiable Data Breaches
TFG complies with the NDB scheme under the Privacy Act. In the event of an eligible data breach likely to cause serious harm, affected individuals and the OAIC will be notified within legislated timeframes.

Client Data Sovereignty
Data entered into TFG platforms by client organisations remains the property of those organisations. Upon termination of services, data is returned or securely destroyed in accordance with the applicable service agreement.

Section 07
System Availability & Service Continuity

TFG endeavours to maintain high availability of its website and platforms. However, TFG does not warrant that this website or any TFG platform will be available continuously, uninterrupted, error-free, or free from security vulnerabilities at all times.

Planned Maintenance
  • Routine maintenance windows will be scheduled during off-peak hours where possible and communicated to active clients with reasonable advance notice
  • Emergency maintenance may be performed without advance notice where required to address critical security vulnerabilities or system instability
  • TFG will endeavour to minimise disruption and restore full service as quickly as practicable following any unplanned outage
Uptime & SLA Commitments

Specific uptime guarantees, service level commitments, and support response time obligations are defined in individual client service agreements. The general terms on this website do not constitute a service level agreement (SLA). Where a conflict exists between these Terms of Use and a signed service agreement, the service agreement shall prevail.

No Liability for Downtime
Limitation on Downtime LiabilityTo the extent permitted by law, TFG shall not be liable for any loss, damage, or costs arising from any unavailability, interruption, or degradation of this website or any TFG platform — whether caused by scheduled maintenance, system failure, third-party infrastructure issues, network disruptions, cyber-attacks, or any other cause beyond TFG’s reasonable control.
Infrastructure Dependencies

TFG’s platforms rely on third-party cloud infrastructure providers. While TFG selects reputable, enterprise-grade infrastructure partners and maintains redundancy where feasible, interruptions to third-party infrastructure are beyond TFG’s direct control and may affect platform availability. TFG is not liable for service interruptions caused by third-party infrastructure failures, provided TFG has taken reasonable steps to implement continuity measures.

Data Backup & Recovery

TFG implements automated data backup procedures to facilitate recovery from unplanned incidents. Recovery time and recovery point objectives are defined in applicable service agreements. Notwithstanding this, TFG strongly recommends that clients maintain independent backups of critical business data and do not rely solely on TFG’s backup systems for business continuity purposes.

Section 08
Force Majeure & Unforeseen Circumstances

TFG shall not be held liable or in breach of any obligation under these Terms of Use or any service agreement where performance is prevented, hindered, delayed, or made commercially impracticable by circumstances beyond TFG’s reasonable control (“Force Majeure Events”).

The above list is illustrative and non-exhaustive. A Force Majeure Event includes any circumstance beyond TFG’s reasonable control that materially prevents or delays the performance of obligations, regardless of whether it was foreseeable at the time these terms were agreed.

TFG’s Obligations During a Force Majeure Event
  • Prompt notification: TFG will notify affected clients as soon as reasonably practicable after becoming aware of a Force Majeure Event that may affect service delivery
  • Mitigation efforts: TFG will take reasonable steps to minimise the impact of the Force Majeure Event and resume normal service delivery as quickly as possible
  • Status updates: TFG will provide reasonable progress updates while a Force Majeure Event is ongoing and materially affecting services
  • Suspension of obligations: TFG’s obligations under service agreements will be suspended for the duration of the Force Majeure Event to the extent performance is prevented or materially impeded
Extended Force Majeure
Extended Events — 90 Days or MoreIf a Force Majeure Event continues for 90 consecutive calendar days or more, either party may terminate the affected service agreement by written notice, without liability to the other, except for outstanding payment obligations for services already delivered prior to the Force Majeure Event commencing. Pro-rated refunds for prepaid, undelivered services may be issued at TFG’s reasonable discretion.

TFG’s invoicing platform, communication systems, and client-facing portals are designed with redundancy in mind. Even during disruptive events, TFG will endeavour to maintain essential communication channels and provide clients with realistic restoration timelines.

Section 09
Governing Law & Jurisdiction
Governing Law — New South Wales, AustraliaThese Terms of Use are governed by and construed in accordance with the laws of New South Wales, Australia, without reference to its conflict of laws provisions. The parties irrevocably submit to the exclusive jurisdiction of the courts of New South Wales and the Federal Court of Australia in respect of any dispute arising out of or in connection with these terms.

These terms are subject to applicable Australian Commonwealth and State legislation including, but not limited to:

  • Competition and Consumer Act 2010 (Cth) — including Schedule 2, the Australian Consumer Law
  • Privacy Act 1988 (Cth) and the Australian Privacy Principles
  • Corporations Act 2001 (Cth)
  • Electronic Transactions Act 1999 (Cth)
  • Copyright Act 1968 (Cth)
  • Spam Act 2003 (Cth)
  • Fair Work Act 2009 (Cth) — in relation to TFG’s employment practices
  • NDIS Act 2013 (Cth) — where relevant to HOSPOS platform deployments
International Users

TFG also operates in New Zealand, Canada, and India. Users accessing this website or TFG services from outside Australia acknowledge that they do so on their own initiative and are responsible for compliance with local laws to the extent they apply. Where TFG has service agreements with clients in those jurisdictions, the terms of those agreements will specify the applicable governing law and dispute resolution process.

Dispute Resolution

Before commencing formal legal proceedings, TFG and any aggrieved party agree to make a genuine, good-faith effort to resolve any dispute through direct negotiation. If a dispute cannot be resolved within 30 days of written notice, either party may refer the matter to mediation before a mutually agreed mediator, with the costs of mediation shared equally. If mediation fails, either party may pursue the matter through the courts of New South Wales as set out above.

Modifications & Amendments

TFG reserves the right to amend, modify, or replace these Terms of Use at any time and for any reason — including to reflect changes in our business practices, services, legislative requirements, or judicial interpretation of applicable law.

How Changes Are Communicated
  • Material changes: Where a proposed change materially affects your rights or obligations under these terms, TFG will provide at least 14 days’ written notice (by email where contact details are held) prior to the change taking effect
  • Minor changes: Non-material amendments — such as corrections, clarifications, or formatting updates — will be updated on this page without prior notice
  • Version control: Each revision to these terms will be assigned a new version number and “Last Updated” date, visible at the top of this page
  • Acceptance: Your continued use of this website or TFG services after any published change to these terms constitutes your acceptance of the revised terms
Right to Discontinue

TFG reserves the right at any time to modify, suspend, or discontinue any part of this website or any TFG service — temporarily or permanently — with or without notice. TFG will not be liable to you or any third party for any such modification, suspension, or discontinuation, subject to obligations under any existing signed service agreement and applicable law.

Severability
